9. Code of Conduct/Exclusivity行为准则/专属 
You will undertake to work exclusively for our company in the framework of your position and
responsibilities, and not to accept without our formal agreement any other paid employment, even
temporary or part time, that may restrict your availability or harm our interests.
你方承诺在你的职位和职责的框架下仅为我司工作,未经我方正式许可且不得接受任何雇佣即便是临时或兼职工作,该工作可能会影响你的出勤或损害我方的利益。

10. Confidentiality保密 
You will undertake to refrain from:你方承诺不得
• disclosing to any person not employed by the xx (hereinafter known as the Group) any confidential information relating to the department or the Group, including but not limited to company decisions, plans and budgets, unpublished results, compensation, sales forecasts, new products, manufacturing processes, research programs, acquisitions or divestment projects, processes, commercial policies, financial rules or plans which you will be made aware of, and more particularly, not to utilize these information for your own personal use or for the account of a competing employer.
向任何非xx(以下为Group)的雇员披露部门或集团相关的任何保密信息,包括但不限于你所知道的公司决定,计划和预算,未发表的结果,补偿,销售预测,新产品,制造工艺,研究项目,收购或投资项目,工艺,商业政策,财务规则或计划,特别是不得利用这些信息为你私人所用或某一竞争雇主谋利。
• disclosing to other employees of the department or Group any information of the above type without having ascertained for certain that passing on such information cannot be considered as a disclosure of confidential information. In doubt, please contact the HR department, Asia Pacific.
无明确确认传播该信息不被视为披露保密信息情况下将上述类型的任何信息披露给本部门或者其他员工。如有疑问,请联系亚太HR部门。

11. Non-Compete Clause禁止竞争条款
Given your responsibilities in the business of the Group and in the Asia Pacific countries where the Group is currently based at the date of offer, you will be bound by the following clause.
In the event of termination of your employment contract for whatever reason, you shall not, in the context of your responsibilities, duties or any particular skill acquired in the Group, carry out, whether directly or indirectly, any activity for the benefit of a competitor company that makes or sells similar products to those studied, developed, manufactured or marketed by the Group.
Further, you shall not, whether directly or indirectly, recruit or help to recruit an employee of any company in the Group.
This prohibition shall apply for one year commencing the day on which your activity in the Group effectively ends.
鉴于在集团业务和集团目前所在亚太国家你的职责,从该OFFER开始之日起,你将受制于以下条款。
不论你方的劳动合同由于何种原因终止,你将不得,在你的职责,义务或在集团内获得的任何特别的技能的背景下,实施为任何制造或贩卖集团研发,制造或营销的类似产品竞争对手公司谋福利的行为。

另外,你将不得,不论是直接地或间接地,招聘或帮助招聘集团内的任何公司的员工。  
禁止期为自你在集团的行为有效结束之日起一年。

disclosing to other employees of the department or Group any information of the above type without having ascertained for certain that passing on such information cannot be considered as a disclosure of confidential information. In doubt, please contact the HR department, Asia Pacific.
在未确认以上信息为可以透露的非机密的情况下不得向任何其他部门或组织的成员透露任何上述相关信息。

11. Non-Compete Clause禁止竞争条款
Given your responsibilities in the business of the Group and in the Asia Pacific countries where the Group is currently based at the date of offer, you will be bound by the following clause.
以要约生效起为始,你必须履行你在此亚太经合组织中的商业责任并遵守以下条款。

无论在任何情况下终止此合同,你不得直接或间接携带与你的职责,义务或特定技能有关的相关信息与技术给任何竟争对手的公司或研发,制造,销售同类产品的同行。
Further, you shall not, whether directly or indirectly, recruit or help to recruit an employee of any company in the Group.
此外,你不得直接或间接的帮助本组织内的其他公司招聘或帮忙性招聘员工.
This prohibition shall apply for one year commencing the day on which your activity in the Group effectively ends
此禁令自你在组织履行责任之是期内一年申请.(这句有点晕。。呵呵。。脑子有点罢工了。。理不清了)

Application of the Clause条款的应用 
You shall inform any other employers of the existence of the present clause. On receipt of the resignation letter or of the dismissal notice and for a period of six months commencing that date, you shall inform XX Ltd. by registered letter of all hiring proposals from competitor companies. XX (both above-mentioned companies) shall notify its position to you within ten (10) days of receiving such information.

Should you fail to comply with the non-competition clause or in the event of fraud over the nature or amount of income, Imerys, as soon as it is aware thereof, may:

• Suspend payment of the compensatory termination暂缓补偿终止的支付
• Demand the immediate termination of your activity in or for the benefit of the competitor company, under the penalty of a daily sum equivalent to 50% of annual gross salary, commencing on the date of the notice that Imerys shall send by registered letter
要求立刻终止你在竞争公司或为其谋利的行为,相当于年毛工资50%的每天罚金,从Imerys用挂号信件发出通知的日期开始 
• Claim damages in court to allow for the harm suffered by Imerys 法庭为Imerys所遭受的损害索赔。
• Obtain, as the case my be, the reimbursement of all unduly paid sums
获得,视情况而定,所有不适当地支出的返还。 

14. Applicable Law & Jurisdiction适用法律和管辖
Taiwanese Labor Law will govern your employment in addition to the following terms and conditions. Therefore, any dispute arising from the performance, interpretation or breach of the present contract shall come under the jurisdiction of Taiwan.
