客户发了个合作协议过来有几千个英文单词,懵B了. 很多地方看的不是很明白, 贴上重要的几段, 大佬指点一下1. WORK FOR HIRE: Except for Vendor's IP (as defined below), Company shall own all right, title and interest in and to the requested services as depicted on any applicable purchase order, invoice or statement of work (the "Order") the project (the "Work" or “Product”) and other proceeds of Vendor's services (“Services”) rendered pursuant to this Agreement or otherwise, including, but not limited to, Services or Work performed prior to the date of this Agreement (collectively, with the Work, the "Materials").
2. Upon completion of the Work, Vendor shall deliver to Company a complete design package (the "Design Package") including all CAD, ME drawings, molds, and schematics.
3. Vendor hereby waives all moral rights with respect to the Materials, and agrees not to assert any claim based thereon.
4.All other rights and uses of the Work and Materials are expressly reserved to Company and Vendor agrees that it shall not use the Work or Materials in any way that derogates from or infringes upon the Company's rights under this Agreement. Without limiting any of the Company's ownership or other rights under this Agreement, Vendor hereby acknowledges that the Company may embody, manufacture, publish, sell, license, sublicense, distribute, subdistribute, market, compile, OEM, bundle and otherwise exploit the Materials, in any manner, including, by any means and in all media now known or hereafter devised.

补充的是：
这些条文常适用于提供服务而不是实质产品。
比如这里出现的STATEMENT OF WORK，简称SOW，是较为常见的一种订单方式，在一个有效的框架协议下，买方可以SOW的形式具体规定每个项目的工作内容，与订单是同一个概念。
同时这些条文一般都极度保护买方本身的利益，是不平等条约。

买方保留对此工作内容和材料的所有其他权利和用途，且卖方同意，若违背或侵犯了买方权益，卖方将不能使用这些工作内容或材料。在不限制买方在此协议下的所有权和其他权利的前提下，卖方同意买方可对材料进行收录，制作，发行，售卖，授权，转授权，分销，转分销，销售，编制，贴牌代工，打包，以及以其他任何形式及方式，用现有及将来可能出现的媒体进行开发。

如果是卖方自己的知识产权，协议一般会有一份附录，要求你填上你们的专利详细信息。
至于他们会怎么使用卖方的知识产权，也一定会有进一步说明，防止卖方告他的。
