FORCE MAJEURENeither Party will be liable to the other Party for any delay in or any failure to
perform its obligations (other than payment of money) as a result of any act of god,
war, terrorism, riot, or civil commotion but only to the extent that the same was not
caused by the Party seeking relief. If such delay or failure continues for at least
sixty (60) days, either Party will be entitled to terminate this Agreement by notice in
writing

writing,由于天灾，战争，恐怖事件,暴乱或骚乱造成任意一方不能及时履行或无法履行其义务，其对另一方无需承担责任，但是免责范围仅限于相关方非故意寻求救济的行为。如果这样的拖延或无法履行义务的期限超过了60天，任何一方有权通过书面形式中止此份协议。

COUNTERPARTS
This Agreement may be executed in any number of counterparts (each of which taken together shall be deemed to constitute one and the same agreement and each of which individually shall be deemed to be an original) with the same effect as if the signatures on each counterpart were the same original document.
