Z是客户公司名称，这个条款能签吗？看起来是挺合理的，但是一旦有啥麻烦，就……所以如果改的话，要怎么改才能对卖方更有利呢？各位发表一下意见吧:handshake(ii) the failure of Seller to comply with its warranties and obligations under this Agreement provided, that Seller is promptly notified and rendered reasonable assistance by Z (at Seller’s expense). Z shall have the exclusive right to control its defense notwithstanding Seller’s obligations described herein. If a claim of infringement is made, the Seller shall obtain for Z the right to continue to use and sell the Seller’s product srvice or the Seller shall replace it with a non-infringing product srvice.
