11.1 Notwithstanding any provisions in this Agreement, either Party shall be entitled to terminate this Agreement immediately by written notice in the event that the other party:
(a) commits any material breach of this Agreement, and in the case of a breach capable of remedy fails to reasonably remedy the same within thirty (30) days after receipt of a written notice giving full particulars of the breach and requiring it to be remedied;
(b) makes any assignment, arrangement or compromise for the benefit of its creditors; or
(c) ceases to function as a going concern or is has liquidation or winding up proceedings instituted against it, voluntary or otherwise.
