保 密 协 议This Confidentiality Agreement is made this ___ _ day of ___ __ 2010 by and between East Link
Global Ltd (ELG), whose business address is located at 1005, Universal Trade Centre, 3 Arbuthnot
Road, Central, Hong Kong and the following company (hereinafter the "Subcontractor"):

To enable ELG to disclose confidential information and samples to the Subcontractor in connection
with the manufacture by the Subcontractor for ELG of the following product(s) or component(s) for

爲了使“.. .. ..”能夠向“分包商”披露“保密資訊”及提供樣品，以供“分包商..

當事人雙方茲達成如下協議：
1. Disclosure of Proprietary Information
技術資訊披露
During the term of this Agreement, ELG will disclose or reveal non-public information, technical
data or know-how, samples, equipment and/or inventions relating to the above product(s)
(hereinafter "Proprietary Information"), which are owned by ELG or third parties who have
furnished them to ELG on a confidential basis.
在本協議有效期內，”ELG”將披露或透露與上述産品有關的非公開信息、技術資料、
專有技術、樣品、設備和/或發明（以下稱爲“專有資訊”）。
2. Confidentiality
保密
The Subcontractor agrees to keep confidential all Proprietary Information received from ELG
and to use all reasonable means to preserve the secrecy thereof and that it will not without the
prior written consent of ELG publish or disclose the same or cause or permit such publication or
disclosure to any third party.
“分包商”同意對從”ELG”處獲知的所有“專有資訊”保密，並採取所有合理措施保
護所有保密資訊，在沒有”ELG”事先書面同意的情況下，將不會發佈或披露上述資
訊，也不會促使或允許任何第三方發佈或披露上述資訊。
PROVIDED, however, that these obligations shall not apply to:-

(a) information which the Subcontractor can prove by documentary evidence
produced to ELG within fourteen (14) days of disclosure that such information
was already in the possession of the Subcontractor and at its free disposal
before the disclosure hereunder to the Subcontractor;
資訊1：“分包商”能夠在此資訊披露後.. ..日內以書證證明所披露的資訊已
經由其佔有，並可在向其披露之前由其自由處置；
(b) information which is hereafter disclosed to the Subcontractor without any
obligations of confidence by a third party who has not derived it directly or
indirectly from ELG;
資訊2：任何已經直接或間接從”.. .. ..”處得到此資訊的第三方向無任何保
密義務的“分包商”披露此資訊。
(c) information which is or becomes generally available to the public in printed
publications in general circulation through no act or failure to act on the part of
the Subcontractor or the Subcontractor's agents or employees.
資訊3：在公開出版物上已經變成衆所周知的資訊，而“分包商”或其代理
人或雇員並未對此資訊的公開採取過任何行動。
The Subcontractor agrees that the use of Proprietary Information provided under this
Agreement shall be limited to use for the manufacture of products and/or components required
by ELG only and that any further use shall be the subject of further written agreement between
the parties. The Subcontractor recognizes that all Proprietary Information is of a confidential or
proprietary nature, and that use of the Proprietary Information other than for the sole benefit of
ELG would be wrongful and would cause irreparable harm to ELG.
“分包商”同意：根據本協議提供的“專有資訊”僅限於爲生産”.. .. ..”所要求的産品和
..或部件而使用，如果需要把此資訊用做其他目的，雙方必須達成進一步的書面協議。
“分包商”承認：所有“專有資訊”都是機密的或私人所有的，不顧”.. .. ..”的利益而使
用“專有資訊”是不正當的，並將給”.. .. ..”造成不可挽回的損失。
3. Confidentiality Measures
保密措施
To secure the confidentiality attaching to the Proprietary Information, the Subcontractor shall:
爲了保證“專有資訊”的機密性，“分包商”：
(a) keep separate all Proprietary Information and all information generated by the
Subcontractor based thereon from all documents and other records of the
Subcontractor;
應當把所有“保密資訊”與“分包商”從其所有文件及其他記錄中獲取
的資訊分開保管；
(b) keep all documents and any other material bearing or incorporating any of the
Proprietary Information at the usual place of business of the Subcontractor;
應當把所有文件及帶有或包含任何“專有資訊”的材料保存在“分包商”的
日常營業場所；
(c) not use, reproduce, transform, or store any of the Proprietary Information in an
externally accessible computer or electronic information retrieval system or
transmit it in any form or by any means whatsoever outside its usual place of
business;
不得在外部可訪問的電腦或者電子資訊檢索系統上使用、複製、改變，或儲
存任何“專有資訊”，也不得在日常營業場所以外以任何方式傳輸任何形式
的“專有資訊”；
(d) allow access to the Proprietary Information exclusively to those employees or
agents of the Subcontractor who have reasonable need to see and use it for the
purpose of carrying out the manufacture of products and/or components required
by ELG, and shall inform each of said employees or agents of the confidential
nature of the Proprietary Information and of the obligations on the Subcontractor
in respect thereof;
應當只允許其爲了生産”.. .. ..”要求的産品和..或部件而需要接觸及使用
“專有資訊”的雇員或代理人使用此資訊，並應當告知上述所有雇員或代理
人此資訊的保密性質以及“分包人”爲此資訊保密的義務；
(e) obtain a written statement from each of its agents and, whenever reasonably
practicable, from each of its employees having access to the Proprietary
Information undertaking to maintain the same confidential, and shall take such
steps as may be reasonably desirable to enforce such obligations;
應當取得其有權使用“專有資訊”的代理人保證爲此資訊保密的書面陳述，
只要可行，還應當取得其有權使用此資訊的雇員保證爲此資訊保密的書面陳
述，並應當採取任何此類合理的措施履行此義務；
(f) make copies of the Proprietary Information only to the extent that the same is
strictly required for the purposes of manufacturing products and/or components
required by ELG; and
只有當“專有資訊”僅嚴格用於生産”.. .. ..”所要求的産品和..或部件時，
才能複製此“專有資訊”；
(g) deliver up to ELG, upon request of ELG made at any time, all documents and
other material in the possession, custody or control of the Subcontractor that
bear or incorporate any part of the Proprietary Information.
應當隨時應”.. .. ..”的要求向其交付所佔有、保管或控制的具有或包含“專
有資訊”任何部分的所有文件及其它材料。
4. No Acquisition of Rights
未取得權利
No title, license, copyright or any other rights are granted expressly or implied under this
Agreement and by the disclosure of Proprietary Information regardless whether or not covered
by industrial property rights.
本協議並沒有明示或暗示地授予所有權、許可證、版權或其他任何權利；不管上述權利是
否包含在工業産權內，“專有資訊”的披露也並未明示或暗示地授予所有權、許可證、版
權或其他任何權利。
5. Term of Agreement
協議期
This Agreement shall subsist for an initial period of one year with the option of renewal by
mutual written agreement; however, the obligations relating to secrecy and the limitation of the
use of Proprietary Information supplied shall apply for a period of three (3) years following
disclosure.

6. Governing Law

This Agreement shall be construed according to and governed by the laws of the Hong Kong
SAR.

7. Entire Agreement
整體協議
This Agreement contains the entire agreement between the parties as to the treatment of
Proprietary Information and supersedes all prior and contemporaneous agreements dealing with
that subject. Any amendment to this Agreement must be made in writing and signed by both
parties. This Agreement is written in English and Chinese languages. In case of conflict, the
English language shall prevail.
