This Contract is made by and between the Buyer and Seller,whereby the Buyer agrees to buy and the Seller agrees to sell the under-mentioned commodity according to the terms and conditions stipulated below:

3.Unit Price:JPY5800000.00/set CFR Shanghai,China
4.Total Value:JPY5800000.00(Say JPY Five Million Eight Hundred Thousand Only)
5.Country of Origin and Manufacturer:Japan/Makashi Machinery Co.Ltd.
6.Time of Shipment:Within 1 month after the Seller received the L/C.
7.Port of Shipment and Destination:From any port in Japan to Shanghai,China
8.Insurance:To be covered by the Buyer.
9.Packing:The goods shall be packed suitable for long distance ocean transportation and well protected against dampness,moisture,shock,rust and rough handing.The Seller shall be liable for any damage to the commodity on account of improper for any rust damage attributable to inadequate or improper protective measure taken by the Seller,and in such case any losses and/or espenses incurred in consequence thereof shall be borne by the Seller.

11.Terms of Payment:The Buyer shall open 100% L/C at sight in favor of the Seller and remaining valid for negotiation in Japan for further 15 days after the effected shipment.

a.Full set of clean on board ocean Bills of Lading,blank endorsed,marked”freight prepaid”and “contract no.”,made out to order,and notify the Buyer.

c.Packing List with indication of both gross and net weights,measurements and quantity of each item packed in 1 original and 2 copies.
d.Certificate of Quality and Quantity issued by the Manufacturer in 1 origianl and 2 copies.
e. Certificate of Japanese Origin issued by Chamber of Commerce& Industry in Japan in 1 origianl and 1 copy.
f.Seller’s certified copy of the Fax dispatched to the Buyer within 3 days after the shipment date,advising the contract No.name of commodity,quantity,gross and net weight,invoice value,name of vessel,shipment date,and ETA.
g.Certificate of Treatment issued by J.P.Q.A. if packing is made with wooden case,or, one original Certificate of Non-wooden Packing Declaration if packing is not made with wooden case.
13.Banking Charges:All banking charges outside the opening bank are for the Seller’s account.

This contract is made in two originals,one original for each party in witness thereof.

d.制造商出具的质量和数量证书，正本1份，副本2份。
e.日本工商会签发的日本原产地证书1份。
f.卖方在装运日期后3天内向买方发送传真的核证副本，通知商品名称、数量、毛重和净重、发票价值、船名、装运日期和ETA。
g.由J.P.Q.A出具的治疗证明,如果包装是用木箱做的，或者如果包装不是用木箱做的，则提供一份非木制包装声明的原件。
13. 银行费用：开户银行以外的所有银行费用均由卖方承担。

2010年4月23日，浙江龙江机械公司外贸单证员需根据以上进口合同的要求填写开证申请书，并向其开户行（中国农业银行浙江省分行国际业务部，地址:杭州市庆春路30号，邮编：310003）办理申请开证手续。要求采用SWIFT电报方式开证，所有单据要注明开证日期、信用证号码和开证名称。中国农业银行浙江省分行给予浙江龙江机械有限公司的开证授信额度为100万美金。

补充内容：
1.Advising Bank要填通知行名称、地址和SWIFT号码，如果卖方没有提供，则有开证行指定
2.For transportation to填写目的港，如果有转运港，则在目的港后加via
3.信用证有效期一般是最迟装运日加交单期。（5月31日+15天=6月15日）
疑问
1：在进口合同中没有找关于货物是否允许转运和分批装运，所以根据所学知识，我就选择了允许转运的分批装运。
问题是：为什么不允许转运的分批装运？合同中找了好几遍了，本人真的没找到。
2.据我了解，最迟装运期就是指提单的签单时间的最后期限。交单期限，照理说信用证里有条款规定是14天或者21天或者多少天，但是在这个进口合同中我都没有找到。（ps：我可以推测出这个时间是根据：合同签字时间为4月19日+21天=5月31日）
问题是：为什么这里是21天呢？
3.Credit available with后提指定银行，但是我并没有在进口合同中找到，
问题是：这里为什么填的是any bank in Japan呢？
4.付款人是规定开证行？（ps：不好意思，真的有很多内容都忘记了）
