1.Notwithstanding the above, the Service Provider shall be entitled to use employees or sales assistants when carrying out their work without having to get the previous and written authorisation from the Client. The latter shall stay out of the employment relationship or any other type of relationship formed between the aforementioned and the Service Provider.2.The Service Provider shall always be loyal, and uphold the interests of the company, diligently working as an orderly promotional businessman and, where appropriate, conclude transactions or operations carried out whilst this power of attorney is valid.
The Service Provider is completely free and independent to organise their work, which is always aimed at attaining the highest number of business transactions possible and at doing the best for the interests of the Client.
The Service Provider guarantees to the Client that it posseses all necessary licences and authorizations required by applicable legislation, to comply with the requiriments of the present contract.
3.This Contract is made on a non exclusive basis. Therefore, the Client is entitle to agree with other Service Providers in China, and the Service Provider can render services to third parties in China.
However, the Service Provider is obliged not to market the products, designs, IP Rights, and any other asset form the Client to third parties, directly or indirectly, and commit not to directly or indirectly promote any third party to market or use the products, designs, IP rights or any other assets of the Client.
In this regard, the Service Provider acknowledge that this Contract does not give it any right over the products, designs, IP Rights or any other assets of the Client, which shall always belong to the Client. Therefore, the Service Provider commits not to use in any manner the products, designs, IP Rights or any other asset of the Client for any purpose different than the one set forth in this Contract.

在这方面，服务提供商确认，本合同不给它任何权利在产品，设计，知识产权或客户，这将永远属于客户的任何其他资产，因此，服务供应商承诺不使用以任何方式对产品，设计，知识产权或客户比一列在本合同不同任何目的的任何其他资产。
