Any dispute which cannot be resolved through negotiation or mediation within six (6) months of the date of the initial demand by either party ay then be submitted (exclusively) to a court located in Arizona. Both Manufacturer and Distributor consent jurisdiction over it by such a court.The relationship of the parties hereto shall be that of independent contractors. Nothing herein shall be construed to create any partnership, agency, joint venture, or similar relationship or to subject the parties to any implied duties or obligations regarding the conduct of their affairs except as expressly state herein. Neither party is authorized to bind the other to any obligations with third parties.

对于合同双方任意一方提出的，任何无法通过协商或调停解决的争议,在此争议初次提出之日起6个月内会提交到位于美国亚利桑那州的法院。所有的生产商和经销商同意美国亚利桑那州的法院有管辖权。

此合同项下相关方的关系应该是独立的订约关系。除非在此明显注明,此合同在任何情况下不得理解成产生了合伙关系，代理关系，合资企业或类似的关系，亦不得理解成订约方各自的行为会让其他订约人受任何潜在的税费或义务的约束。任何一方无权让另一方受第三方的义务约束。
