If, in the course of carrying out work for G.ltd it is necessary to disclose confidential information or materials or any part thereof to any third party other than an employee, you must ensure that a legally binding agreement is entered into with the third party concerned. The terms of which must be equivalent to those contained herein and are subject to approval by G.ltd.Nothing in clause 1 of this agreement shall apply to any confidential information or material which:
• At the time of its disclosure is in the public domain.
• After disclosure comes into the public domain for any reason except by failure to comply with this agreement.
• Was lawfully in your possession prior to this agreement and documentary evidence can be provided.
• Is subsequently received by you from a third party who is not in breach of any obligation of confidentiality owed in respect of the information.
• You are required to disclose, retain or maintain by applicable law or regulation or under the rules of any relevant regulatory or government authority, provided you have given G.ltd reasonable advance written notice of such proposed disclosure and you shall use your best endeavors to secure confidential treatment of any such information disclosed.

Nothing in clause 1 of this agreement shall apply to any confidential information or material which:以下事项不受上述条款约束

• After disclosure comes into the public domain for any reason except by failure to comply with this agreement.非因乙方违反本协议的其他原因披露
