(your company ) agrees the Distributor will have the exclusive rights to represent their products for distribution and handle all the sales in Iran and Iraq on their behalf, for 24 months
from the date of signing. The Manufacturer agrees Name of our Co commission on all sales in your country. Contract is extendable based on pre-agreed KPI. (Terms to be negotiated on distribution contract)

The Manufacturer requests that buyer/importer state in their L/C to deduct the commission on their sales directly.Terms and Payment are by irrevocable L/C at sight OR Advance deposit of 30% upon the Buyer or Importer confirmation. Balance amount have to be paid in full 1 week Before shipment by TT. Mode of Payment is up to the Buyer Choice.Orders submit by the Representative are subject to confirmation by the Supplier.
The Manufacturer agrees to be bound by the terms of this Agreement and are not
allowed to do direct business with any other Buyer/Importer in Iran or Iraq without the Representative’s expressed written permission.

Termination
Either party may terminate this agreement within the stipulated period of this agreement for breach of terms of agreement with 30 days written notice.
Termination of agreement must be giver by written notice Sent EMail. Neither party will be allowed to Claim for damages, loss, etc.

大概看了一下，这份独家代理合同疑义不少, 首先是称谓多，一下子you company, our company, 一下子 manufacturer, buyer/importer, supplier, representative, 不知谁与谁挂钩关联，很费解。
尤其是当红色的句子冒出来，让人的头脑开始懵然飘云，不知何解。
这是中东客户写的么？倒不如你们公司草拟一份，跟他们谈还好。
