if we can not negotiate to resolve the controversy, the People's Court located at the place of party A will have jurisdiction of the controversy.

All disputes in connection with the Contract or the execution thereof shall be settled through friendly negotiations. In case no settlement can be reached through negotiations, the case shall be resolved through litigation. Any party can bring such dispute to the court. The parties agree that the place of adjudication shall be the place where party A is located.
