and fees relating to its activity to the relevant
bodies in the country of sale of the Products. By
way of example, each Supplier established in
France, itself or through a legal representative,
agrees to become a member of ECO
EMBALLAGES or ADELPHE. For such
purpose, a certificate of membership is attached
hereto at Schedule 7. The relevant Supplier
agrees to pay all the duties relating to such
membership directly to ECO EMBALLAGES or
to ADELPHE;
If the Supplier does not have a legal
representative in France, the relevant
CARREFOUR Company will prepare the ECO
EMBALLAGES or ADELPHE declaration in the
name and on behalf of the Supplier and will pay
the subscription relating to such declaration. The
said subscription will then be invoiced on to the
Supplier at the same price.

Insurance
The Supplier agrees to subscribe, with a
reputedly solvent insurance company with
international reputation, General Civil
Liabilities insurance including coverage of
Operations civil liability and After Delivery
civil liability, covering tangible, bodily,
intangible (consecutive or not) damages that
he/she might cause to third parties due to his
activity, and to maintain it in force throughout
the duration of the General Terms of Supply.
Sub-contracting
The Supplier may not sub-contract its
obligations under the General Terms of Supply,
whether in whole or in part, without the prior
written consent of CWT, other than with regard
to those service providers which have been
declared to CWT beforehand, expressly in
writing, and which have been expressly
approved by the latter.
Furthermore, the Supplier shall notify the
relevant CARREFOUR Companies in writing
of any intended sub-contracting on at least
thirty (30) business days’ notice, so that the
CARREFOUR Companies may exercise their
right of refusal in respect of the said sub-
contracting, on good grounds.
