1）10. Responsibility of the Parties and Arbitration.The Parties have the material responsibility for nonfulfillment or improper fulfillment of their obligations of the present Agreement, in tune of direct damage inflicted to the other Party.
In case of nonfulfillment or inappropriate fulfillment by the Seller of terms of present Agreement, as such: good's non-delivery, delivery of non-completed or non-quality goods, the Seller is paying a penalty in tune of ____ % from its cost. The penalty payment does not exempt the Seller from its obligations stipulated in Point 8 of the present Agreement. In addition to this, the Seller compensates to the Buyer the sustained losses in tune of non-gained or incomplete gained benefit (lost benefit).
2）The Seller guarantees that the delivered goods are manufactured in accordance with the standards and technical conditions. The Seller's guaranty of goods quality is for 12 months from the moment of the good’s shipment in the destination port.
Should the goods within the guarantee period prove to be defective or incomplete, which were caused by manufacturer’s producing and assembly process, also during the loading in the expedition port, the Seller is obligated to deliver the missing or defective parts, replace them or to return to the Buyer the full cost of the non-qualitative/defective products.
