15. This Agreement shall be governed by and construed in accordance with the laws of the State of Utah without reference to the principles of conflict of laws. The parties expressly consent to personal jurisdiction and venue for the determination of any disputes under this Agreement in the courts of general jurisdiction in Utah.16. This Agreement supercedes any and all previous agreements and all additions or modifications to this Agreement must be made in writing and must be signed by both parties.
17. This Agreement can be terminated prior to the date in paragraph 6 by either party by thirty (30) days prior written notice to the other, or extended by mutual written consent. Termination shall not relieve either party of an obligation with respect to Confidential Items disclosed hereunder prior to termination.
