NON-DISCLOSURE AND
NON-CIRCUMVENTION AGREEMENT
In Consideration of the mutual promises and agreement herein contained and other valuable consideration, the undersigned parties hereby agree as follows:
Whereas, the parties are mutually desirous of transacting various business transactions in cooperation with one another and for the mutual benefits and
Whereas, each of the parties to protect the confidentiality of the contracts, name and identity of the third parties, persons and entities which each will supply to the other party and to enjoy the financial benefit of such contracts and transactions.
Now Therefore, the undersigned parties whereto on there own behalf and on the behalf of their several associates, and/or corporations, expressly stipulate and agree to abide by the following terms and conditions:
Article 1: The parties expressly agree that they will not make any contact with or undertake to deal with or engage in any transaction(s), firm corporation, company, buyer, seller or any other person introduced by one party to another during term of the undertaking and agreements and the prohibitions herein expressed shall apply only to those institutions, buyers, sellers, or other persons, introduced by one party to another during the term of this agreement.
Article 11: This agreement shall be effective covering all present and future negotiations for the sale of fresh and dehydrated vegetable and fruit products and other similar products and shall continue for 3 (Three) years after the termination of all present and future negotiations, contracts of extensions and rollovers and renewals of such contracts among the parties themselves and their contracts with third parties, persons, and entities.
Article 111: The parties agree to keep confidential the names and identities of all third parties, persons and entities introduced by one party to other party including addresses as well as names which were introduced during the period of this agreement.
Article 1V: The parties hereby agree not to circumvent or attempt to circumvent the agreement in an effort to deprive the other party or parties of fees, commissions, or other remuneration. The agreement shall apply to all partners, corporations, division assign of other associated persons, affiliated with the parties. Commissions to be agreed upon before deal is successfully completed.
Article V: The parties agree to make full disclosure of any business dealing or arrangements with the third parties, persons or entities introduced by the other party and agree to provide for an equitable division of distribution of all fees, commissions, or remuneration resulting treatment shall be underlying principal of the undertaking and parties agree to adhere to.
Article V1: This agreement shall not be construed as to create a partnership or joint venture or any agency or other business relationship which would authorize any party hereto or to have any authority to create any liability or obligation on behalf of the other party hereto. Each of the parties hereto are and remain completely independent and individual from each other.
Article V11: In the event that a dispute shall arise under or related to this agreement the party initiating any litigation shall do so in the forum having jurisdiction over the principal place of business of the other party and the law of the defending parties principal place of business shall be the governing law with respect such litigation.
All parties to sign, date and have this agreement notarized. All parties to initial all pages.
