内容如下：近几年来，在国际贸易实践当中，信用证的有些功能发生了异化，主要表现为开证行开证时，
在信用证中加列某些特殊或出口商根本无法办到的条款,使得出口商尽管已经履行了合同的规
定，议付后开证行仍可根据这些条款拒付，而出口商和议付行却无可奈何，在这种情况下，
信用证就是失去了原有的作用，即无任何付款保证可言，银行信用也就随之失效。这便是在
当今外贸实务中经常出现的“陷阱条款”，也称之为“信用证软条款”。本文从信用证软条款的
基本定义、表现形式、成因、及防范措施等方面加以论述，以期达到对信用证软条款的全面
认识，完善信用证支付制度的目的

In recently years,some functions of L/C have been mutatedthe during the practice of internatinal trade,
mainly display on the issuing bank adding some special clauses or some clauses that the exporter couldn’t
fulfill at all when issuing L/C. The issuing bank could according to these clauses dishonor the payment
despite the exporter have fulfiled the agreements of the contract.Under such circumstances,the L/C
lose the original function,have no payment guarantee and the bank credit gone.This is the “pitfall clause”
emerged in today’s practical international trade,or so-called “soft clause”. In order to achieve a comprehensive
understanding of the soft clause,this article starts from analyzing the definition,performances,the causes and
countermeasures of the soft clause,with the purpose of improving the L/C payment system

In recent years ,Letter of credit has been going though function diversity in real practices of international trade ,which mainly shows when opening bank starts letter of credit ,some special or impossible clauses that can not be satisfied are added into Lc , that makes exporter and negotiation bank really have no choice if opening bank refuses payment according to these clauses after negotiation even though exporter have already implemented clauses on contract .Therefore, the letter of credit has lost its original function as it is supposed to be under such circumstances ,that means LC can not assure payment , the credit of bank has become invalid .This is so called "trap clause” that often turns up in current international trade ,also it is given a name as "soft clause of LC". This thesis will discuss soft clauses of LC based on the basic definition, manifestation, cause and prevention measures in the hope of acquiring a complete acknowledge to soft clause of LC and clarifying the purpose of LC payment.

It results in dishonour by the issuing bank after nogotiation according to the above clause although the seller furfill the contract..Therefore,the L/C lose the original function of no any payment guarantee even the bank credit. This is the “pitfall clause”emerged in today’s practical international trade which we called “soft clause”. In order to achieve a comprehensive understanding of the soft clause and improve the L/C payment system, the thesis will analyze the definition,performances and countermeasures of the soft clause.
