F. Seller agrees to obtain and to maintain for the duration of this Agreement, insurance in a form reasonably satisfactory to Bourns, which shall include but not be limited to the following types of insurance:a. Insurance to cover the cost of treatment of work-related injuries for Seller’s employees.
b. Insurance to cover employer liability arising as a result of employee-related accident or injury.
c. Commercial general liability insurance having a total limit not less than $2,000,000 per occurrence to cover liability arising from premises, operations, independent contractors, operations, personal injury and advertising injury, and liability assumed under an insured contract.
A certificae of insurance listing Bourns’ as an additional insured shall be provided to Bourns within ten (10) days of full execution of this Agreement attesting to the types and amounts of insurance described above.
Seller’s insurers, insurance brokers or insurane agents shall by written notice, endeavor to notify the Bourns at least 30 days in advance of any material change or cancellation that would reduce the coverage described above.
Each insurer must be rated at least A- by the A.M. Best Company, Inc. or other equivalent rating agency and must be licensed to conduct business in all states where this Agreement shall apply.
It is specifically agreed that the types and amounts of insurance requested above shall not limit or otherwise affect Seller’s obligation to indemnify and hold Bourns harmless as provided by the Indemnification provisions of this Agreement.
Seller, in its sole discretion, shall determine its insurance policy deductibles and/or self-insured retentions. Seller shall be solely responsible for all claims within any deductible or self-insured retention.
The failure of the Seller to maintain the insurance coverage and limits required by the Bourns during the term of this Agreement shall be considered a material breach hereof. Any failure of Bourns to declare Seller to be in material breach hereof shall not be deemed a waiver by Bourns of the right to claim material breach for subsequent failure to maintain the required coverage.
