限制不能在规定的几个国家里与批发商类型的客户成交帮我看看能否签字：条款如下
1.The Distributor shall keep the Company informed as to the general conditions, which pertain to or affect the sale of its products, to be reported via email.
2.This agreement covers a period of ten (10) years from the date of the commencement of this Agreement. In the event either party desires to terminate this Agreement at the end of the 10 year term of agreement, written notice must be sent to the other party by Certified mail, return receipt requested, no later than ninety (90) days prior to the effective termination date. If timely notice is not given, or if no notice is given, this Agreement shall be automatically renewed, under the same terms and conditions.
3.This Agreement forms the entire understanding between the parties. It cancels and supersedes all prior Agreements and understandings. There shall be no change or modification in any of the terms of this Agreement unless it is amended in writing and signed by both parties.
4.The Company covenants to ship quality products within the agreed timescales. In the event that there are any quality issues the Company shall either ship replacement products by sea, air or refund the Distributor. Such decision to be made jointly by the Company and Distributor. Responsibility for any costs as a result of quality issues will also be borne by The Company unless agreed otherwise..
5.This Agreement shall be binding upon each of the parties hereto, their heirs, successors, assigns and successors in interest and any related parties, corporations or partnerships.
