销售代理协议
Sales Agency Agreement

本协议于 2012 年  3 月  16 日在  深圳  由有关双方在平等互利基础上达成,按双方同意的下列条件发展业务关系:
This agreement is made and entered into by and between the parties concerned on 2012-3-16 (Date) in Shenzhen (Place) on the basis of equality and mutual benefit to develop business on terms and conditions mutually agreed upon as follows:

1. 协议双方

2. 委任
  Appointment
在本协议有效期内,甲方指定乙方为本协议第三条约束下的产品在该国家的代理商,并授予代理证书,为第四条所列商品从第五条所列区域的顾客中负责销售, 联系买家并招揽订单,乙方同意并接受上述委任。
Party A hereby appoints Party B as its Sales Agent to solicit orders for the commodity stipulate in Article 4 from customers in the territory stipulated in Article 5, and Party B accepts and assumes such appointment.

3, 代理商的义务
Agency’s duty
乙方应严格遵守甲方在销售活动中随时给予的有关于产品的任何指令,而且不得代表甲方做出任何担保、承诺以及订立契约、合同或作其他对甲方有约束力的行为。对于乙方违反甲方指令或超出指令范围所用的一切作为或不作为,由乙方单独承担责任,甲方都将不承担任何责任。同时,乙方必须积极宣传推广本协议约束下的产品,尽力扩大销售成果;
Party B shall strictly abide by any and all instructions given by Party A on sales activities and shall not make any representation, warranty, promise, contract, agreement or do any other acts on behalf of Party A. Party A will not afford any responsibilities for all acts made by Party B without written permission from Party A. Meanwhile, Party B should and must publicize actively to enlarge the sales of commodities.

6, 销售代理权
  Sales Agency Rights
基于本协议授予的销售代理权,甲方不得在乙方的代理区域内,直接地或间接地,通过其他渠道销售、出口代理商品。乙方也不得在代理区域内经销、分销、或促销与代理商品类似或有竞争性的商品,也不能招揽或接受到区域外以销售为目的的订单。在本协议有效期内,对来自于区域内其他顾客有关代理商品的订单、询价,甲方都应该使用乙方的品牌名称.签订OEM销售合同.
In consideration of this right here in granted, Party A shall not sell, export relative products to territory directly or through the third party. Party B shall not sell, distribute or promote the sales of any products competitive or similar in territory without consent of Party A and shall not accept orders for purpose of selling products outside territory without prior written permission from Party A. During the validity of this agreement, Party A shall forward all inquiries and orders relative to the referred products from territory to Party B under Party B’ s brand name. Sign OEM contract for the export relative products.

7. 最低业务量
  Minimum turnover
乙方同意,在本协议有效期内三个月( 2012 年 3 月 17  日到 2012 年 5 月 16 日)从上述代理区域内的顾客处招揽上述商品的订单,没有任何销售额目标;结束协议的前一个月( 2012 年 2 月 16 日到 2012 年 3 月 15  日)双方将会共同讨论下一个时期的销售目标.下一个时期的销售额将不低于上一年的销售额.

Party B shall undertake to solicit orders for the above commodities from customers in the above territory during the first year [from 03/17/2011  to  05/16/2013 ] of the effective period of this agreement without any turnover target. One month [from 16/02/2012 to  03/15/2012 ] prior to end date of agreement, both parties will come together to determine the turnover target of the following period. Target turnover of the following period will not be less than the turnover made in previous year.

8. 最低代理额和价格
  Minimum transaction and price
  在本协议有效期内,如果甲方通过乙方每年(12个月)收到的货款总金额低于 3,000,000
人民币,则甲方有权提前30天书面通知乙方解除本代理协议。

甲方应经常向乙方提供最新的价格表以及商品可以成交的条款、条件。   
During the validity of this agreement, if party A receives total amount less than
3,000,000 RMB per year (12 months) by party B, party A shall have the right to terminate the
agency agreement 30 days in advance by written notice to party B.
Party A shall furnish Party B with a statement of the minimum prices and terms and conditions of sales at which the goods are respectively to be sold from time to time.

9. 订单的处理
  Orders
在招揽订单时,乙方应将甲方成交的条件、合同的一般条款充分告知顾客,也应告知顾客任何合同的订立都须经甲方的确认。乙方应将其收到的订单立即转交给甲方,以供甲方选择是否接受订单。所有产品成交的最终解释权属甲方所有。
In soliciting orders, Party B shall adequately advise customers of the general terms and conditions of Party A’s sales note or contract note and of any contract being subject to the confirmation of acceptance by Party A. Party B shall immediately dispatch any order received to Party A for its acceptance or rejection. Party A has the rights to explain the terminal final decision of any orders.

10. 商情报告
  Market Report
  为使甲方充分了解现行市场情况,乙方承担至少每季度一次或在必要时随时向甲方提供市场报告, 内容包括与本协议代理商品的进口与销售有关的地方规章的变动、当地市场发展趋势以及买方对甲方按协议供应的货物的品质、包装、价格等方面的意见。乙方还承担向甲方提供其他供应商类似商品的报价和广告资料。
In order to keep Party A well informed of the prevailing market conditions, Party B should undertake to supply Party A at least once a quarter or at any time when necessary, with market reports concerning changes of the local regulations in connection with the import and sales of the commodity as well as local market tendency and the buyer's comments on quality, packing, price, etc covered by this agreement. Party B shall also supply party A with quotations and advertising materials on similar products of other suppliers.

11. 广告及费用
  Advertising and Expenses
在本协议有效期内,乙方应积极充分的进行产品宣传以促进产品的销售;乙方负担本协议有效期内在销售代理商品做广告宣传的一切费用,并向甲方提交所用于宣传的印刷品, 商品样本, 小册子以及其他材料,供甲方事先核准。甲方应提供有关资料以供乙方参考。
Party B shall bear all expenses for advertising and publicity in connection with the commodity in question in territory within the validity of this agreement, and shall submit to Party A all audio and video, catalogue and samples catalogue materials intended for advertising for prior approval. Party A shall offer relative information to Party B for reference.

12. 知识产权和工业产权保护
Intellectual Property Rights
在本协议有效期内,乙方将会在双方规定的区域内销售甲方生产的带有乙方商标的产品.甲方应同意在乙方的商标下提供所有产品. 一旦发现在其销售范围内的侵权行为,责任由乙方承担.
甲方同意按照乙方的要求,保卫或协助任何声称这种侵权的行动辩护.关于侵权赔偿,乙方同意将收到的任何信息立即通知甲方.
Party B will sell Party A’s products in its agreed territory under its own brand and Party A shall accept to deliver all the products under Party B’s brand. If any infringement being found, Party B shall be liable.
PARTY A agrees that it will, at PARTY B’s request, defend or assist in the defense of any action claiming such infringement. PARTY B agrees to notify the PARTY A promptly upon receipt of any information w.r.t. a claim of infringement.  

13. 协议有效期
Validity of Agreement
  本协议经有关双方如期签署后生效,有效期为 12 个月,从 2012  年 03  月 17 日至 2013 年 03  月 16 日。
This agreement, when duly signed by the both parties concerned, shall remain effect for
12 Months from 03/17/2012 (date) to 03/16/2013 (date).

14. 协议的终止和继续
Termination and continuation
  在本协议有效期内,甲乙任何一方当事人不履行合同或违反本协议的任何条款, 双方当事人应争取及时解决争议的问题以期双方满意。如果在违约方接到书面通知后30日内问题仍不能解决,非违约方将有权终止本协议。在本协议中止前至少一个月,甲方和乙方应共同协商协议的延续,如果双方一致同意延续,在上述规定的条款条件下,附上补充文件,本协议经双方重新签订生效;
During the validity of this agreement, if either of the two parties is found to have violated the stipulations herein, both parties should try efforts to negotiate to solve the controversy problem till both agreed, then notify the other party with written notice. If it is continuously pending after 30 days of the written notice accepting, the other party has the right to terminate the agreement. At least one month (30 days) ahead of validity of the agreement, both parties should negotiate the continuation of the agreement. The new agreement has to be settled and signed to be effected.

16. 准据法
  Trade terms and governing law
  本协议有关贸易条款应根据INCOTERM2000解释。本协议的有效性,组成受香港法律管辖。
  The trade terms under this agreement shall be governed and interpreted under the provisions of INCOTERM2000 and this agreement shall be governed as to all matters under the laws of People’s Republic of China.

17. 仲裁
Arbitration
对于因履行本合同发生的一切争议,双方应友好协商解决,如协商无法解决争议,则应提交中国国际经济贸易仲裁委员会(北京),依据其仲裁规则,仲裁费应由败诉一方承担,仲裁委员会另有规定的除外。
  本合同由双方代表签字后生效,一式两份,双方各执一份
All disputes arising from the performance of the agreement should be settled through friendly negotiations. Should be settlement be reached through negotiation, the case shall then be submitted for arbitration to the China International Economy and Trade Arbitration Commission South China Sub-Commission (Shenzhen), and the rules of this Commission shall be applied. The award of the arbitration shall be final and binding upon both parties. The arbitration fee shall be born by the losing party unless otherwise awarded by the arbitration organization.


签订类似的代理协议:
1. 付款条件重中之重,什么月结,收货后再付10%。。都是坑,尽量与客户协商保障自己的利益。
2. 所谓销量,月销量年销量都是形式,对客户有一定压力,重要的是客户实力,同时也没有相应处罚措施,这些条款都很次要。
3. 仲裁同理,一般都是客户所在地仲裁,可跨国官司那是很难实现的,有各种其他补偿措施:降价,折扣,补货。
